Terms of Service

These terms are the agreement between you and Karchu (“we”, “us”, or “Karchu”) governing your use of karchu.com and every service we provide from it. By creating an account, joining a workspace, or otherwise using the service, you agree to these terms. If you don’t agree, don’t use the service.

1. Your account

You must be at least 16 years old to create an account. You’re responsible for keeping your credentials safe and for everything that happens under your account. If you sign in with Google OAuth, you’re also bound by Google’s terms for that identity. Notify us at security@karchu.com if you suspect unauthorized access; we’ll help you regain control and rotate sessions.

One person or one legal entity per account. Shared accounts are not supported - use workspace roles to grant access to teammates instead.

2. Workspaces and members

Each Karchu workspace has an owner who is responsible for the workspace’s subscription, its member list, and any content uploaded into it. Owners can invite additional members and assign them roles (manager, accountant, analyst, employee, viewer). Members access the workspace under these terms; the owner is responsible for ensuring that members have the right to see the data in the workspace.

If you invite someone to a workspace, you represent that you have the authority to do so and that they have the right to see the content in it. If your relationship with a member ends (they leave your company, for example), you’re responsible for removing them.

3. Subscriptions, billing, and refunds

Every new workspace starts on a 30-day free trial with access to the full feature set, subject to the free-trial usage limits shown at signup. At the end of the trial you may continue on the free plan (if available) or subscribe to a paid plan.

Paid subscriptions are billed through Stripe on a monthly or yearly cycle at the price shown at checkout, and renew automatically until you cancel. Prices exclude taxes; applicable taxes are calculated and displayed at checkout. Renewals are billed in advance for the upcoming period.

You can cancel at any time from Settings → Billing. Cancellation stops future renewals; your workspace continues to have paid-plan access until the end of the current billing period. We do not offer pro-rated refunds for unused time. If you were charged in error, email hello@karchu.com within 30 days and we’ll investigate.

4. Acceptable use

You agree not to:

  • Upload content you don’t have the right to process, including financial records belonging to a third party without their permission.
  • Attempt to bypass rate limits, plan limits, or workspace access controls.
  • Reverse-engineer the service, scrape it in a way that degrades performance for other users, or probe it for vulnerabilities outside our disclosure policy.
  • Use the service to store or process material unlawful in your jurisdiction.
  • Impersonate another person or entity or misrepresent your affiliation with them.
  • Interfere with, disrupt, or overload the service or its infrastructure.

We may suspend access without notice if we reasonably believe an account is violating this section, and we may terminate the account if the violation is material or repeated.

5. Your content

You own the content you upload to Karchu (bank statements, receipts, transaction data, workspace metadata). You grant Karchu the minimum license needed to process that content in order to provide the service (parsing, categorizing, storing, computing dashboards, delivering exports). We do not use your content to train third-party AI models. See the privacy policy for how content is stored, retained, and deleted.

6. Our intellectual property

The Karchu service, brand, documentation, and codebase are protected by copyright, trademark, and other laws. You may not copy, modify, redistribute, or create derivative works of any part of the service except as permitted by these terms. Public-facing content (blog posts, comparison pages, resources) may be linked and quoted for editorial purposes with attribution.

7. Feedback

If you send us feedback, feature requests, or bug reports, we may use them without any obligation to you. You represent that any feedback you send is your own and not confidential to a third party.

8. Third-party services

Karchu integrates with third-party services (Stripe for billing, Google for OAuth sign-in, our managed cloud backend). Your use of those services is also governed by their respective terms and privacy policies. Karchu is not responsible for the acts or omissions of third-party providers.

9. Disclaimer

Karchu is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Categorization output, dashboards, and insights are informational and not financial, tax, or legal advice. Consult a qualified professional before relying on the output of any automated tool for regulated purposes.

10. Limitation of liability

To the maximum extent permitted by law, Karchu is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the service. Our total liability for any claim arising out of or related to these terms or the service is limited to the greater of (a) the amount you paid Karchu in the twelve months before the claim arose, or (b) one hundred United States dollars.

11. Indemnity

You agree to indemnify and hold Karchu harmless from any claim arising out of your breach of these terms, your misuse of the service, or content you upload that you didn’t have the right to upload.

12. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate accounts that violate these terms or that we’re required to suspend by law. Sections that by their nature should survive termination (payment obligations, disclaimers, limitation of liability, indemnity, governing law) survive.

13. Changes to these terms

We may update these terms as the service evolves. Material changes are announced by email to workspace owners at least seven days before they take effect. Continued use after that date constitutes acceptance of the updated terms.

14. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. You and Karchu agree that any dispute will be resolved individually - no class actions - and that the exclusive venue for any court proceeding is the state or federal courts located in Delaware. Nothing in this section prevents either party from seeking equitable relief in any court of competent jurisdiction.
